Welcome to Agent OS. These Terms of Service ("Terms") govern your access to and use of the Agent OS platform, including our website, applications, AI-powered tools, and all related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Agent OS reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, providing additional notice. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

2. Description of Service

Agent OS is an AI-powered operating system designed for real estate professionals. The Service includes, but is not limited to:

AI Comparative Market Analysis (CMA) Builder
AI Listing Description Generator
AI Social Media Content Creator
Client Story and Testimonial Generator
AI Transaction Coordinator
Commission and Goal Tracker

3. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security and confidentiality of your login credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

You must be at least 18 years of age and a licensed real estate professional (or working under the supervision of one) to use the Service. We reserve the right to suspend or terminate accounts that violate these requirements.

4. Subscription Plans and Payment

4.1 Plans and Pricing

The Service is offered through various subscription plans, including free and paid tiers. Current pricing, features, and generation limits for each plan are displayed on our pricing page. We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.

4.2 Billing and Renewal

Paid subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. All payments are processed securely through Stripe.

4.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. Refunds are handled on a case-by-case basis and are generally not provided for partial billing periods.

4.4 AI Usage

Certain AI-powered features count toward your monthly generation limit based on your subscription plan. Free plan users receive 25 AI generations per month. Pro and Team plan users enjoy unlimited AI generations. Generation counters reset at the beginning of each billing period. Unused generations do not roll over.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws, regulations, or industry standards (including real estate licensing laws and fair housing regulations)
Generate misleading, fraudulent, or deceptive content
Create listing descriptions that misrepresent property features or conditions
Violate fair housing laws or engage in discriminatory practices
Infringe upon the intellectual property rights of others
Transmit malicious code, viruses, or harmful content
Attempt to gain unauthorized access to the Service or its systems
Use automated means to scrape, mine, or extract data from the Service
Resell, redistribute, or sublicense the Service without authorization
Harass, abuse, or harm other users

6. AI-Generated Content

6.1 Nature of AI Output

The Service uses artificial intelligence to generate content, including but not limited to listing descriptions, market analyses, social media posts, roleplay scenarios, and transaction checklists. AI-generated content is provided as a starting point and professional aid. It should not be considered as legal, financial, or professional advice.

6.2 User Responsibility

You are solely responsible for reviewing, verifying, and editing all AI-generated content before use. This includes ensuring accuracy of property descriptions, compliance with local MLS rules, adherence to fair housing guidelines, and accuracy of market data and valuations. Agent OS does not guarantee the accuracy, completeness, or suitability of any AI-generated content.

6.3 CMA and Valuation Disclaimer

AI-generated comparative market analyses and property valuations are estimates based on available data and AI modeling. They are not appraisals and should not be used as substitutes for professional appraisals. Users should verify all comparable sales data and market conditions independently.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, features, AI models, training data, code, and documentation, is owned by Agent OS and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

7.2 Your Content

You retain ownership of the content you create using the Service, including AI-generated outputs based on your inputs. By using the Service, you grant Agent OS a non-exclusive, worldwide license to use, store, and process your content solely for the purpose of providing and improving the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENT OS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Indemnification

You agree to indemnify, defend, and hold harmless Agent OS and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may request export of your data within 30 days of termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Agent OS regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
